Terms of Service

Welcome to Deployables ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the website located at deployables.ai, all associated subdomains, APIs, software, documentation, and any related services (collectively, the "Service"). By accessing or using the Service, you ("you" or "User") agree to be bound by these Terms. If you do not agree to all of these Terms, do not use the Service.

Deployables is organized and operated under the laws of the State of Wyoming, United States.

1. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Deployables provides a platform that enables users to deploy, manage, and interact with AI agents operating on virtual or physical machines (Linux, Windows, macOS). The Service includes provisioning of compute infrastructure, agent orchestration tools, real-time monitoring, API access, and related features. We may modify, suspend, or discontinue any part of the Service at any time without prior notice.

3. Account Registration and Security

To use the Service, you must create an account using a valid authentication method we support (e.g., Google Sign-In, email link). You agree to:

• Provide accurate and complete information during registration;
• Maintain the confidentiality of your account credentials;
• Immediately notify us of any unauthorized use of your account;
• Accept full responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate your account at any time, for any reason, including if we reasonably believe you have violated these Terms.

4. User Responsibility and Conduct

You are solely and entirely responsible for all actions taken through your account and for all activities, outputs, data, and consequences arising from your use of the Service, including any AI agents you deploy, configure, or operate using the platform.

Without limiting the foregoing, you agree that you will NOT use the Service to:

• Violate any applicable local, state, national, or international law or regulation;
• Engage in any activity that is fraudulent, deceptive, misleading, or harmful;
• Distribute malware, viruses, or any other malicious code;
• Gain unauthorized access to any computer system, network, or data;
• Conduct denial-of-service attacks or otherwise interfere with any third-party service;
• Engage in spamming, phishing, scraping, or any form of automated abuse;
• Harass, threaten, defame, or infringe upon the rights of any person;
• Generate, store, or distribute content that is illegal, obscene, or that exploits minors;
• Circumvent, disable, or interfere with any security features of the Service;
• Use the Service in any manner that could damage, overburden, or impair the Service;
• Resell, sublicense, or redistribute the Service without our prior written consent;
• Violate any third-party terms of service, acceptable use policy, or license agreement.

You acknowledge that whatever you choose to do with your Deployables instance is your decision and your responsibility. We do not monitor, control, or endorse any specific use of deployed agents, and we disclaim all liability arising from your use.

5. Third-Party Services and Integrations

The Service may integrate with or enable connections to third-party platforms, APIs, services, and tools (e.g., Telegram, voice providers, cloud infrastructure). Your use of such third-party services is governed by their respective terms and policies. We are not responsible for the availability, accuracy, or conduct of any third-party service. You assume all risks associated with using third-party integrations.

6. Fees and Payment

Certain features of the Service require payment. All fees are as stated on the Service at the time of purchase. You agree to pay all applicable fees in connection with your use of the Service. Payments are processed by third-party payment processors (e.g., Stripe), and you agree to their terms in addition to ours.

• Billing: Subscription fees are billed in advance on a recurring basis (monthly or as otherwise stated). Usage-based charges may be billed in arrears.
• Refunds: All fees are non-refundable except as required by applicable law or as expressly stated in writing by us.
• Taxes: You are responsible for all applicable taxes associated with your use of the Service.
• Price Changes: We reserve the right to modify pricing at any time. Material changes will be communicated with reasonable advance notice.

7. Intellectual Property

All intellectual property rights in the Service — including but not limited to software, designs, logos, trademarks, documentation, and content created by us — are and remain the exclusive property of Deployables or our licensors. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited right to use the Service as expressly permitted.

You retain ownership of any content, data, or configurations you upload, create, or generate through the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive, royalty-free license to host, store, and process your User Content solely for the purpose of providing and improving the Service.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge and agree to the practices described in the Privacy Policy.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that any AI agent deployed through the Service will perform as expected, produce accurate results, or avoid causing harm. We make no representations about the reliability, accuracy, or completeness of any content or output generated by or through the Service.

You expressly acknowledge and agree that your use of the Service is at your sole risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DEPLOYABLES, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your access to, use of, or inability to use the Service;
• Any conduct, content, or actions of any third party on or through the Service;
• Any actions taken by AI agents deployed through the Service;
• Any unauthorized access to or alteration of your data or transmissions;
• Any damages resulting from your reliance on any output or content generated by the Service;
• Any other matter relating to the Service.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Deployables, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service or any activity under your account;
• Your violation of these Terms or any applicable law;
• Your violation of any third-party right, including any intellectual property or privacy right;
• Any actions taken by AI agents deployed or configured by you through the Service;
• Any claim by a third party that your User Content or your use of the Service caused damage to that third party.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Service ceases immediately;
• We may delete your account, data, and deployed instances;
• All provisions of these Terms that by their nature should survive (including Sections 9, 10, 11, 14, and 15) will survive termination.

You may terminate your account at any time by ceasing use of the Service and contacting us at hello@deployables.ai.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be posted on the Service with a revised "Last Updated" date. Your continued use of the Service after any such modification constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically. If you do not agree to the modified Terms, you must stop using the Service.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Wyoming. You consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.

CLASS ACTION WAIVER: TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND DEPLOYABLES EACH WAIVE ANY RIGHT TO A JURY TRIAL.

15. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Deployables regarding the Service and supersede all prior agreements.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms.
• Force Majeure: We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, epidemics, government actions, or internet or infrastructure failures.
• No Agency: Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Deployables.
